Scion Legal has been engaged to conduct a confidential search on behalf of a highly respected and rapidly growing Los Angeles law firm seeking a Corporate Attorney to join its transactional practice. The firm represents emerging companies, founders, investors, and established businesses in complex corporate matters and strategic transactions.
The practice operates in a deal-rich environment, advising clients on a wide range of sophisticated transactions, including:
Venture capital financings
Private equity investments
Mergers and acquisitions
Corporate structuring and governance matters
Attorneys in this group work closely with experienced partners and sophisticated clients while gaining meaningful responsibility on transactions.
Associates in this practice receive:

This is an outstanding opportunity for a 4th or 5th year corporate associate to join a sophisticated transactional practice in Los Angeles.
The firm is seeking an attorney who has developed strong transactional experience and is comfortable managing significant portions of complex deals with partner guidance.
Attorneys in this practice advise clients on matters including:
Venture capital financings
Private equity investments
Mergers and acquisitions transactions
Corporate structuring and governance
Strategic commercial agreements
The ideal candidate will have experience practicing in a deal-heavy corporate environment, such as:
A large law firm
A nationally recognized transactional practice
A well-known regional corporate firm
Attorneys joining the team will have the opportunity to work on high-value transactions while developing long-term client relationships and strategic advisory experience.
Assist in managing mergers and acquisitions and corporate financing transactions
Draft and negotiate transaction documents, including:
Purchase agreements
Investment agreements
Commercial contracts
Support venture capital and private equity investments
Advise clients on corporate structuring, including limited liability company formations and governance
Conduct legal due diligence and assist with transaction execution
Work directly with partners and clients to develop transaction strategies and timelines
Collaborate with internal teams and external stakeholders to ensure successful deal execution
Assist with general corporate matters and commercial contracting
Participate in client relationship development and strategic advisory work
J.D. from an ABA-accredited law school
Degree from a nationally recognized law school
Approximately 4 to 5 years of corporate transactional experience
Strong experience in one or more of the following areas:
Venture capital financings
Private equity investments
Mergers and acquisitions
Corporate structuring and governance
Additional qualifications include:
Experience working in a deal-rich environment such as BigLaw or a recognized corporate transactional practice
Experience drafting and negotiating commercial agreements and transaction documents
Strong legal writing, analytical, and communication skills
Ability to manage key components of transactions with partner oversight
Experience with debt or lender transactions is helpful but not required.
Base Salary Range: $250,000 to $280,000, depending on experience and overall fit.
Additional highlights include:
Performance-based merit bonus eligibility beginning at 1,700 billable hours
Target bonus levels typically achieved at 1,950 billable hours, consistent with many top firms in the Los Angeles market
Associates may earn meaningful bonuses even below traditional BigLaw billing thresholds
Bonus determinations consider factors such as:
Quality of work
Client service and responsiveness
Billable hours
Business development efforts
Overall contributions to the firm
