Scion Staffing is excited to announce an opportunity for a highly motivated Paralegal to join our client's highly regarded global energy company. This is a full-time, remote, direct-hire opportunity with benefits!

Responsibilities:
•Draft, review, and finalize PPMs and other offering documents for various securities offerings.
•Ensure all required disclosures and risk factors are properly outlined and compliant with SEC regulations.
•Assist in the preparation and assembly of exhibits, schedules, financial statements, and subscription agreements.
•Review and maintain offering materials for accuracy and completeness.
•Provide support for Reg D Rule 504, Rule 505, and Rule 506 offerings.
•Prepare and file Form D with the SEC and coordinate state-level Blue Sky filings.
•Manage investor accreditations and compliance with accredited investor requirements.
•Assist with legal documentation for Regulation Crowdfunding (Reg CF) offerings, including Form C filings and compliance with offering limits and investor caps.
•Support formation and governance tasks, including state-level corporate filings, certificates of incorporation, amendments, and corporate qualifications.
•Manage cap tables and equity issuance through platforms like Carta.
•Assist with board and shareholder resolutions, meeting minutes, and compliance documentation.
•Ensure compliance with federal and state securities laws for private offerings.
•Track filing deadlines, including SEC filings such as Form D and Form C.
•Monitor adherence to rules regarding investor solicitation and advertising in private offerings.
•Conduct due diligence, including reviewing investor accreditation status and background checks.
•Maintain organized, accurate records of offering documents and investor information.
•Oversee the execution of subscription agreements and closing documents.

Requirements:
-Paralegal certification or degree from an accredited institution.
-3+ years as a paralegal focused on securities law, private placements, or capital markets.
-Familiarity with Form D, Form C, and Blue Sky compliance is required.

Compensation: 
This position offers a competitive salary range of $125,000-$140,000 annually plus a comprehensive benefits package!
